Important: These Terms govern the relationship between VerdaBlue UAB and EU/EEA employers using our recruitment services. Use of this website or engagement with VerdaBlue's services constitutes acceptance of these Terms. All contracts are governed by Lithuanian law.
1. Definitions
In these Terms of Service:
- "VerdaBlue" means VerdaBlue UAB, registered in Vilnius, Lithuania
- "Employer" means any EU or EEA company that engages VerdaBlue's placement services
- "Candidate" means an Indian ITI NCVT certified tradesperson submitted for consideration
- "Placement" means the commencement of employment by a Candidate with an Employer
- "Services" means VerdaBlue's recruitment, screening, matching, and placement support services
2. Our Services
VerdaBlue provides the following services to EU employers:
- Sourcing and pre-screening ITI NCVT certified electricians and welders from India
- Credential verification through ZAB and anabin.kmk.org
- German language assessment and preparation coordination
- Anonymised candidate profile presentation and NDA management
- Interview facilitation and candidate preparation
- Employment offer letter review and documentation support
- Visa documentation preparation assistance — note: VerdaBlue does not issue or sponsor visas
- Post-placement check-in support during the guarantee period
3. Fees and Payment Terms
VerdaBlue charges a placement fee upon successful placement of a Candidate with an Employer. Fees are invoiced in EUR through VerdaBlue UAB.
- Invoice 1 (50%): Due upon the Employer issuing a signed job offer to the Candidate
- Invoice 2 (50%): Due on Day 30 of the Candidate's commencement of employment
- No upfront fees are charged. No payment is due if no placement is made.
- Payment terms: 14 days from invoice date unless otherwise agreed in writing
- Late payments accrue interest at the European Central Bank base rate plus 8 percentage points
4. Replacement Guarantee
VerdaBlue provides the following replacement guarantee on every placement:
- Free replacement if a placed Candidate's employment ends within the first 3 months for reasons attributable to the Candidate
- 50% fee discount on the replacement placement fee if the Candidate's employment ends in months 4–6
- The guarantee applies where the Employer notifies VerdaBlue in writing within 7 days of the Candidate's departure
- The guarantee does not apply where employment ends due to redundancy, business closure, or Employer-initiated termination without cause
5. Employer Obligations
By engaging VerdaBlue's services, the Employer agrees to:
- Provide accurate and complete information about vacancy requirements
- Submit job offers promptly following a positive interview outcome
- Submit the job offer to Bundesagentur für Arbeit for approval as required for the Skilled Worker Visa
- Include a bridging training clause in the employment contract (VDE for electricians, EN ISO 9606 for welders) at the Employer's cost
- Sign an NDA before receiving full candidate profiles
- Not contact candidates directly without VerdaBlue's written consent during the engagement period
- Pay invoices within the agreed payment terms
6. Confidentiality
All candidate profiles and related information shared by VerdaBlue are confidential. Employers must sign VerdaBlue's standard NDA before receiving full candidate details. Anonymised profiles may be shared prior to NDA execution. Breach of confidentiality obligations may result in immediate termination of services and liability for damages.
7. Visa and Immigration
VerdaBlue assists with documentation preparation only. The Skilled Worker Visa application process is the responsibility of the Candidate and the German embassy. The employment offer approval process with Bundesagentur für Arbeit is the responsibility of the Employer. VerdaBlue makes no guarantee that any visa application will be approved.
8. Limitation of Liability
VerdaBlue's total liability to any Employer under or in connection with these Terms shall not exceed the placement fees paid by that Employer in the 12 months preceding the event giving rise to the claim. VerdaBlue is not liable for any indirect, consequential, or special losses including loss of profit or business interruption.
9. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Vilnius, Lithuania. The parties agree to attempt to resolve disputes amicably before initiating formal proceedings.
10. Changes to These Terms
VerdaBlue reserves the right to update these Terms at any time. The current version is always available at verdablue.com/terms.html. Continued use of our services following any update constitutes acceptance of the revised Terms.
